Terms of Service

By accessing and using Convia ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service ("Terms") govern your access to and use of our AI agent creation and management platform. By creating an account, using our services, or embedding our agents, you agree to comply with and be bound by these Terms.

Convia provides a platform that allows users to create, customize, and deploy AI-powered agents for their websites and applications. Our service includes:

• Agent creation and customization tools
• AI-powered conversation capabilities
• Knowledge base management and training
• Analytics and usage statistics
• Embeddable agent widgets
• API access for integration

To use our Service, you must:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You are responsible for maintaining the confidentiality of your account credentials. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

We offer multiple subscription tiers:

• Free Tier: Website embed, one agent, and a monthly credit allowance — no payment required
• Channel plans: Optional Social and/or CRM features (Instagram, WhatsApp, lead capture) at the prices shown on our pricing page
• Add-ons: Optional extra monthly credits or additional agents (up to the limits published on the pricing page), billed according to your subscription

Billing:

• Subscriptions are billed monthly or annually based on your selected plan
• Payment is required in advance for each billing period
• All fees are non-refundable except as required by law or as stated in our Refund Policy
• We reserve the right to change our pricing with 30 days' notice to existing customers
• Failed payments may result in service suspension until payment is received

Usage Limits: Each subscription tier includes limits on agents and a monthly credit balance used for AI interactions (for example text chat and voice). Exceeding those limits may pause further usage until the next billing cycle or require an upgrade or add-on.

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Attempt to gain unauthorized access to any portion of the Service or any other accounts, computer systems, or networks
• Use the Service to create agents that promote illegal activities, hate speech, discrimination, or harassment
• Reverse engineer, decompile, or disassemble any portion of the Service
• Use automated systems (bots, scrapers) to access the Service without permission
• Resell, redistribute, or sublicense the Service without our express written consent

Your Content: You retain ownership of all content, data, and materials you upload or provide to the Service ("Your Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process Your Content solely for the purpose of providing and improving the Service.

Our Content: The Service, including its original content, features, and functionality, is owned by Convia and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Third-Party Content: The Service may contain content from third parties. We are not responsible for the accuracy or reliability of third-party content.

Our Service uses artificial intelligence and machine learning technologies to power agent conversations. You acknowledge that:

• AI responses are generated automatically and may not always be accurate or appropriate
• You are responsible for monitoring and moderating agent interactions
• We are not liable for any harm caused by AI-generated content
• AI models may be updated or changed without notice
• You should not rely solely on AI responses for critical decisions

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

We implement reasonable security measures to protect your data, but we cannot guarantee absolute security. You are responsible for maintaining the security of your account and data.

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:

• Scheduled maintenance
• System updates or upgrades
• Technical issues or failures
• Force majeure events

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable for any loss or damage resulting from such modifications or discontinuation.

Either party may terminate this agreement at any time:

• By You: You may cancel your subscription at any time through your account settings
• By Us: We may suspend or terminate your account immediately if you violate these Terms

Upon termination, your right to use the Service will immediately cease. We may delete your account and data after a reasonable retention period. You are responsible for exporting your data before termination.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "as is" and "as available" without warranties of any kind
• We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not responsible for any loss of data, profits, or business opportunities

You agree to indemnify, defend, and hold harmless Convia, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Convia operates, without regard to conflict of law principles.

Dispute Resolution: Any disputes arising from these Terms or the Service shall be resolved through:

1. Good faith negotiations between the parties
2. If negotiations fail, binding arbitration in accordance with applicable arbitration rules
3. Class action waivers apply to the maximum extent permitted by law

We reserve the right to modify these Terms at any time. Material changes will be notified via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.

Entire Agreement: These Terms constitute the entire agreement between you and Convia regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms at any time.
